CHAPTER I \u2013 GENERAL PROVISIONS<\/b><\/p>

\u00a71<\/b>
The Foundation under the name \"Institute for the Study of Quantum Reality and Astrophysics\", hereinafter referred to as the \"Foundation\", operates on the basis of the Act on Foundations and this Statute.<\/p>

\u00a72<\/b>
The Foundation may use the abbreviation ISKRA and its own graphic sign.<\/p>

\u00a73<\/b>
The registered office of the Foundation is in Warsaw.<\/p>

\u00a74<\/b>
The area of \u200b\u200boperation of the Foundation is the territory of the Republic of Poland and \u2013 to the extent necessary to achieve its goals \u2013 also abroad.<\/p>

\u00a75 \u2013 FOUNDERS<\/b><\/p>

  1. The founders of the Foundation are:
    a) Daniel Czarnocki
    b) Seweryn Czarnocki<\/li>
  2. Founders are life members of the Founders' Council. Membership in the Founders' Council terminates only upon death or written resignation.<\/li>
  3. Founders cannot be dismissed by any body of the Foundation.<\/li>
  4. The M\u0101y\u0101 and Logos models remain the intellectual property of the Founders.<\/li>
  5. The Foundation safeguards the integrity, authorship, and protection of the intellectual property rights of the Founders related to the M\u0101y\u0101 and Logos Models.<\/li><\/ol>

    \u00a76<\/b>
    The Foundation has legal personality.<\/p>

    CHAPTER II \u2013 OBJECTIVES OF THE FOUNDATION<\/b><\/p>

    \u00a77 \u2013 Basic Objectives<\/b>
    The Foundation's goal is scientific, educational, protective and implementation activities, including in particular:<\/p>

    1. Conducting scientific research in the field of:
      a) quantum theory of gravity,
      b) emergent physics and digital physics,
      c) discrete and information models,
      d) theoretical and observational astrophysics,
      e) cosmology,
      f) applied mathematics,
      g) philosophy of science and physical ontology.<\/li>
    2. Development, analysis and verification of the M\u0101y\u0101 and Logos models.<\/li>
    3. Promotion and dissemination of scientific knowledge resulting from the Foundation's research, including through publications, educational and popularization activities.<\/li>
    4. Supporting, developing and implementing technologies based on research results, in particular:
      a) preparing and filing patents,
      b) granting licenses,
      c) commercialization of technology and know-how,
      d) cooperation with enterprises and research institutions.<\/li>
    5. Protection of the scientific integrity of the Foundation's works, including:
      a) counteracting copyright infringements,
      b) counteracting unauthorized attribution of authorship,
      c) taking legal and informational actions in the event of infringements,
      d) protecting the consistency and scientific correctness of the M\u0101y\u0101 and Logos models.<\/li><\/ol>

      CHAPTER III \u2013 ACHIEVEMENT OF GOALS<\/b><\/p>

      \u00a78<\/b>
      The Foundation pursues its goals through:<\/p>

      1. Conducting own scientific research and computer simulations.<\/li>
      2. Organization of conferences, seminars, workshops and educational programs.<\/li>
      3. Publishing scientific and popular science works.<\/li>
      4. Collaboration with research centers in Poland and abroad.<\/li>
      5. Applying for national and international grants.<\/li>
      6. Providing scholarships and financing research projects.<\/li>
      7. Commercialization of research results and filing patents.<\/li>
      8. Educational, promotional and information activities.<\/li>
      9. Development of scientific software and tools.<\/li><\/ol>

        CHAPTER IV \u2013 FOUNDATION'S ASSETS<\/b><\/p>

        \u00a79<\/b>
        The Foundation's assets include the founding fund in the amount of PLN 2,000 and property acquired in the course of its operations.<\/p>

        \u00a710 \u2013 Sources of income<\/b><\/p>

        1. Donations, bequests and inheritances.<\/li>
        2. Subsidies, subventions and grants.<\/li>
        3. Income from business activities.<\/li>
        4. Income from intellectual property rights, including patents and licenses.<\/li>
        5. Bank interest and financial investments.<\/li>
        6. Income from paid public benefit activities.<\/li><\/ol>

          \u00a711<\/b>
          The entire income of the Foundation is allocated exclusively to the implementation of its statutory objectives.<\/p>

          CHAPTER V \u2013 BUSINESS ACTIVITY<\/b><\/p>

          \u00a712<\/b><\/p>

          1. The Foundation may conduct business activities only to the extent necessary to achieve its statutory objectives.<\/li>
          2. The scope of business activities includes in particular:
            a) software activities (PKD 62.01.Z),
            b) scientific research and development (PKD 72.1 and 72.2),
            c) consultancy in the field of science and technology (PKD 72.19.Z),
            d) publishing activities (PKD 58.11.Z),
            e) organisation of conferences and events (PKD 82.30.Z),
            f) activities related to intellectual property and patents.<\/li>
          3. Income from business activities is allocated to statutory purposes.<\/li><\/ol>

            CHAPTER VI \u2013 FOUNDATION AUTHORITIES<\/b><\/p>

            \u00a713 \u2013 Founders' Council<\/b><\/p>

            1. The Founders' Council is the governing body of the Foundation.<\/li>
            2. The Council consists exclusively of the Founders.<\/li>
            3. Founders are life members of the Council of Founders. Membership in the Council of Founders terminates only upon death or written resignation. The Council of Founders is not subject to dismissal by other Foundation bodies.<\/li>
            4. Competencies of the Founders' Council:
              a) supervision of the Foundation's activities,
              b) approval of research directions,
              c) appointment and dismissal of the Management Board,
              d) approval of amendments to the Statute,
              e) making decisions on the liquidation of the Foundation,
              f) protection of the M\u0101y\u0101 and Logos Models and their integrity.<\/li><\/ol>

              \u00a714 \u2013 Foundation Management Board<\/b><\/p>

              1. The Management Board manages the Foundation's current activities.<\/li>
              2. Each member of the Management Board acting independently is authorized to represent the Foundation, including making declarations of will on its behalf.<\/li>
              3. The first Management Board consists of:
                a) Daniel Czarnocki \u2013 President
                b) Seweryn Czarnocki \u2013 Vice President<\/li>
              4. The Management Board is appointed and dismissed by the Council of Founders.<\/li><\/ol>

                \u00a715 \u2013 Remuneration rules<\/b><\/p>

                1. Members of the Management Board and the Founders' Council may receive remuneration for the functions they perform.<\/li>
                2. The amount of remuneration for members of the Management Board is determined in an annual resolution of the Council of Founders, taking into account the financial situation of the Foundation.<\/li>
                3. The amount of remuneration for members of the Council of Founders is determined in an annual, unanimous resolution of the Council of Founders itself.<\/li>
                4. The remuneration may not violate the interests of the Foundation or hinder the achievement of its statutory objectives.<\/li><\/ol>

                  CHAPTER VII \u2013 RESEARCH ETHICS AND SAFETY<\/b><\/p>

                  \u00a716<\/b><\/p>

                  1. The Foundation conducts its activities in accordance with the principles of scientific ethics.<\/li>
                  2. Research results may not be used for military purposes or to violate human rights.<\/li>
                  3. The Council of Founders supervises compliance with ethical principles.<\/li><\/ol>

                    CHAPTER VIII \u2013 AMENDMENT OF THE STATUTE AND LIQUIDATION<\/b><\/p>

                    \u00a717<\/b>
                    Amending the Statute requires a unanimous resolution of the Council of Founders.<\/p>

                    \u00a718<\/b><\/p>

                    1. The liquidation of the Foundation is carried out by the Council of Founders.<\/li>
                    2. The assets remaining after liquidation are allocated to Polish or foreign scientific purposes indicated unanimously by the Founders.<\/li><\/ol>

                      CHAPTER IX \u2013 FINAL PROVISIONS<\/b><\/p>
